These Terms of Service (“Terms”) govern your use of the IronGate Technology Logistics LLC (“IronGate”) website and the procurement, logistics, installation, and support services we provide. By using our site or engaging our services, you agree to these Terms.
IronGate provides vendor-agnostic IT procurement, nationwide logistics and white-glove delivery, onsite and remote installation, lifecycle and RMA management, and Procurement-as-a-Service (PaaS) subscriptions. Specific deliverables, quantities, and pricing are defined in the applicable quote, estimate, or order.
Quotes are valid for the period stated on the quote and are subject to product availability and manufacturer pricing. Prices may change due to vendor or distributor pricing, tariffs, or supply conditions, and we will confirm pricing at the time of order. Equipment is priced as shown on your quote.
Orders are accepted upon our written confirmation. Payment terms are stated on your invoice (for example, due on receipt or net terms with approved credit). A surcharge of up to 3% applies to credit card payments to offset processing costs and does not exceed our cost of acceptance; you may pay by ACH or check to avoid it. PaaS subscriptions are billed monthly in advance.
Delivery timelines are estimates and depend on manufacturers and carriers. Title and risk of loss pass to you upon delivery, as applicable. We are not responsible for carrier delays outside our reasonable control.
Hardware and software carry the original manufacturer’s warranty, which passes through to you; IronGate makes no separate product warranty. Returns are subject to manufacturer and distributor return policies and may incur restocking fees. We coordinate RMA and warranty claims on your behalf where possible.
PaaS plans renew monthly until cancelled. You may change or cancel your plan effective at the next billing cycle. Monthly fees are non-refundable except as required by law.
To the maximum extent permitted by law, IronGate is not liable for indirect, incidental, or consequential damages, and our total liability for any claim will not exceed the amount you paid for the specific product or service giving rise to the claim. The website and services are provided “as is” to the extent permitted by law.
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Utah.
We may update these Terms from time to time. The revised date will appear above, and your continued use after changes take effect constitutes acceptance.
